Offer and Acceptance

These terms and conditions shall apply to all contracts between the Buyer and Aurora Video Systems and its authorized representatives. Any document which purportedly modifies, supersedes or otherwise alters these items and conditions shall be of no force or effect whatsoever.

Payment

Prices are in U.S. Dollars. All order processing is done by Aurora Video Systems. (This is what will show up on your credit card statement). We accept Visa and MasterCard credit cards. Please be sure to provide your exact billing address that your credit card company has on file for you. Incorrect information can cause a delay in processing your order.

Shipping

Aurora Video Systems will make every effort to ship your items in a timely manner, but it may take 3 to 5 business days to process and ship your order, at which time we will do so using the ship method you specified when placing the online order.

Buyer shall pay all transportation costs and is responsible for all applicable sales, property excises, duties and other federal, state and local taxes. All invoices are payable in full prior to shipment of the order. Any partial payment accepted does not constitute payment in full.

Delivery

Delivery shall be FOB Sterling Heights, Michigan. We will ship your order by United Parcel Services. Shipping charges are automatically calculated for you when placing an order for destinations inside the continental U.S.

For any shipment that is refused, you will not be credited the amount charged to ship the order.

We are not be liable for any loss, expense, or damage caused by delays or failures in performance resulting from acts of God, or other cause beyond our reasonable control. Product title passes to Buyer when product is transferred from our warehouse to carrier for delivery to Buyer. The expense for transit insurance will be the responsibility of the Buyer and included in the freight charge.

Limited Warranty

All delivered products are warranted under the terms of the limited warranty provided by the Aurora Video Systems.

Aurora Video Systems warrants that all products delivered, shall conform to manufacturer's specifications and to be free from manufacturing and material defects for a period of 1 year from the date of purchase. Products that become defective during such period shall be repaired or, at manufacturer's option, replaced at the manufacturer's Support Center or an Authorized Service Center.

Most of problems that arise can be resolved simply by consulting the product documentation. More difficult problems can often be solved with the aid of technical support without ever sending the equipment back in for repair. The Support link at the top of any page will direct you to the contacts for technical support.

This limited warranty is contingent upon proper use of the products covered and does not cover products which have been modified or which have be subject to unusual physical or electrical stress.

Aurora Video Systems disclaims the implied warranties of merchantability and fitness for a particular purpose. Except for the stationary warranty of title, there are no other expressed or implied warranties.

Privacy

All credit card transactions are processed through Verisign on a secured server. We do not share information about you with any outside party except to the extent necessary to complete the order you have placed.

Limitation of Liability

No claim made hereunder by the Buyer, whether as to goods delivered or from non-delivery shall be greater than the purchase price of the goods in respect of which such claim is made, and we shall under no circumstances be liable for incidental or consequential damages. In any event and in all events, our liability as to any products which it warrants shall be to repair or replace at its option such warranted products.

Returns

All returns require a return merchandise authorization (RMA) number. All authorized returns must be shipped freight prepaid (by the customer). For your protection, please insure the package and use a "trackable" shipping method (UPS and Federal Express are preferred). Any return product shipped COD or without RMA number visible on the shipping label or shipping box (please do not write on the product box itself) may be refused.

Non-defective merchandise must be returned within 15 days of purchase, must have been purchased from the Aurora Video Systems on-line store and is subject to a 15% restocking charge in addition to any other costs incurred.

Unauthorized returns and refused shipments are also subject to a 15% restocking charge along with any additional costs incurred.

We reserve the right to return any merchandise without a valid RMA number. In order to receive full credit, all returned items must be in "like new" condition, in original packaging and with all warranty cards, manuals and accessories. Any discrepancies could result in a delay or partial forfeiture of your credit.

There will be a $35 re-box fee for products returned in a damaged box or without the original retail box.

No returns are accepted on open software.

All items being returned must be received by our warehouse within 30 days of receipt of your RMA number. Any discrepancies could result in a delay in processing an exchange, or a partial or complete forfeiture of your credit.

For credit returns please allow one to two billing cycles for your bank to reflect the credit on your statement.

Choice of Law: Jurisdiction and Venue

This agreement is made in and shall be constructed in accordance with the laws of the State of Michigan. Reasonable attorney's fees shall be reimbursed by losing party to prevailing party in the event of litigation. The parties consent to jurisdiction and venue in either the United States District Court for the State of Michigan or the Superior and Municipal Courts of Michigan for the County of Wayne.

Entire Agreement

This agreement sets forth the entire agreement of the parties with respect to the subject matter hereof. This Agreement may only be modified by a written instrument signed by each party hereto.

Waiver

No waiver of any right or default hereunder shall constitute a waiver of the right for default in any subsequent exercise thereof.

Time Limit for Suit

Any action by the Buyer hereunder must be commenced within six months of the date of delivery of any products.

Serverability

If any provision of these terms and conditions shall be ruled unenforceable, then the remainder shall be enforced to the extent permissible.
